JSC NC «KazMunayGas» searches for a strategic partner

JSC NC «KazMunayGas» searches for a strategic partner for the joint implementation of a new project of subsurface use “Abay”.

1) The title of a new project of subsurface use (subsurface site) is Abay. 2) The subsurface site is located in the northern part of the Kazakhstan sector of the Caspian Sea. 3) The Qualification Requirements for Kazakhstani or foreign legal entities (their associations) that establish the criteria for designating a strategic partner of JSC NC «KazMunayGas» for joint implementation of a new project of subsurface use “Abay” (hereinafter - Qualification requirements): “Organization” means a Kazakhstani or a foreign legal entity (their associations). 1. The availability of an appropriate state registration of the Organization. 2. The Organization's experience in conducting geological exploration in the Caspian Sea for at least five (5) years. 3. The presence of qualified professionals (management) in the Organization, who have at least 10 (ten) years of experience in the oil and gas industry and at least 5 (five) years of offshore experience. 4. The Organization's own capital shall be no less than USD 200,000,000 (two hundred million). 5. If the Organization or its parent company joins the list of the world's largest public companies in the oil and gas industry (Forbes Oil & Gas Operations) (https://www.forbes.com/global2000/list/), items 2, 3 and 4 of the Qualification requirements are not applied. A parent company means a legal entity that directly or indirectly owns 100% of the partnership interests (blocks of shares) in the Organization. 4) A list of documents provided by Organizations to confirm the Qualification Requirements: 1. A copy of the certificate (reference or other document) of state registration (re-registration) of a legal entity, for the temporary association of legal entities (consortium) - a copy of the consortium agreement and copies of certificates (references or other documents) of state registration (re-registration) of consortium participants. 2. A copy of the charter approved in accordance with the established procedure, for legal entities registered on the basis of the standard charter - a copy of the application of the established form on the registration of a legal entity. 3. An information document that includes information on the executive heads and their powers, information on participants (shareholders) indicating the amount of their partnership interests (blocks of shares), information on the circulation of securities of a legal entity on the organized securities market, indicating the total number of such securities, information on subsidiaries. 4. The number and date of the subsurface use contract or other agreement in accordance with which the Organization conducts or has conducted geological exploration in the Caspian Sea. 5. A list of key employees (management) of the Organization who have at least 10 (ten) years of experience in the oil and gas industry and at least 5 (five) years of offshore experience, CVs of the specified employees of the Organization. 6. A copy of the auditor report and a confirmation letter from the auditor company about financial condition of the Organization for 2016. 7. The reference to the list with confirmation of entry of the Organization or its parent company into the list of the largest world public companies according to Forbes and granting from the parent company (in case of its entry into the list) of a confirmation letter of affiliation with the Organization and information on the ownership interest/participation share. 8. A written confirmation of the Organization that all data specified in the documents is reliable. All documents are drawn up in the Kazakh and Russian languages. If documents are provided by a foreign legal entity, such documents can be made in other language with the normative annex to each document of the translation of the document in the Kazakh and Russian languages the fidelity of which is certificated by the notary. 5) The order and term of providing the applications by the Organizations for joint implementation of the new project of subsurface use “Abay”: The applications from the Organizations with providing documents which confirm the Qualification requirements imposed upon applicants are provided no later than 30 (thirty) calendar days from the date of release of an announcement on searching for a strategic partner for joint implementation of a new project of subsurface use “Abay”. Address of JSC NC “KazMunayGas”: The Republic of Kazakhstan, 010000, Astana, 19 Kabanbay Batyr Avenue. 6) The conditions and order of designating a strategic partner for joint implementation of the “Abay” project: After 30 (thirty) calendar days from the date of release of this announcement, receipt of applications from the Organizations closes and information about it shall be posted on the corporate website of JSC NC “KazMunayGas” – www.kmg.kz. The applications from Organizations submitted timely with the enclosed documents are reviewed by JSC NC “KazMunayGas” for compliance with the Qualification Requirements. A list of the Organizations conforming to the Qualification Requirements is published on the corporate website of JSC NC “KazMunayGas” – www.kmg.kz. JSC NC “KazMunayGas” will send for signature the memorandum of understanding and confidentiality agreement to the Organizations conforming to the Qualification Requirements. These documents define the further procedure of attracting and designating the strategic partner for joint implementation of the new project of subsurface use “Abay”.
