How can I purchase the Company’s shares?
The Company’s shares are traded on the local exchanges KASE and AIX starting from December 8, 2022. They can be purchased through an accredited brokerage organization that has access to the exchanges mentioned above. The list of accredited brokerage organizations is available on the websites of the AIX and KASE exchanges, as well as the Agency of the Republic of Kazakhstan for Regulation and Development of the Financial Market.
What is the current price of the Company's shares?
The share prices change during every trading day. Quotes of the Company's shares are available on the official websites of KASE and AIX under tickers KMGZ and KMG, respectively.
Is capital gain subject to individual income tax when the shares sold by individuals?

In accordance with subparagraph 16) of paragraph 1 of Article 341 of the Tax Code of the Republic of Kazakhstan, income from the increase in value when selling securities that on the day of sale are listed on a stock exchange operating within the territory of the Republic of Kazakhstan through open bids, is excluded from the taxable income of an individual.

In accordance with subparagraph 1) of paragraph 7 of Article 6 of the Constitutional Law of the Republic of Kazakhstan “On the Astana International Financial Center”, individuals are exempt from paying individual income tax on income from the increase in value when selling securities that are listed on the official lists of a stock exchange on the date of sale until January 1, 2066.

Is dividend income of individuals on shares subject to individual income tax?

According to subparagraph 7) of paragraph 1 of Article 341 of the Tax Code of the Republic of Kazakhstan, dividends from securities, listed in the official lists of stock exchanges within the territory of Kazakhstan on the date of their accrual, and which had trading activity on the exchange during the calendar year, are exempt from individual income taxation on the condition of meeting following criteria (as determined by the Government of the Republic of Kazakhstan):

  • The volume of executed transactions with securities is at least 25 million tenge per calendar month.
  • The number of executed transactions with securities is at least 50 transactions per calendar month.

According to subparagraph 3) of paragraph 7 of Article 6 of the Constitutional Law of the Republic of Kazakhstan “On the Astana International Financial Center”, individuals are exempt from paying individual income tax on income in the form of dividends from securities listed on the official lists of stock exchanges on the date of dividend accrual, provided that trading occurred on the exchange according to the following criteria until January 1, 2066:

  • the volume of executed transactions with securities is at least 25 million tenge per calendar month;
  • the number of executed transactions with securities is at least 50 transactions per calendar month.

If the criteria determined by the Government of the Republic of Kazakhstan are not met, income in the form of dividends, as per Article 321 subparagraph 10) of the Tax Code of the Republic of Kazakhstan, is included in the annual income of an individual, and according to Article 320 subparagraph 1) of the Tax Code of the Republic of Kazakhstan, it is subject to a 10% individual income tax.

In compliance with Article 19, Section 1 of Kazakhstan's “On Joint Stock Companies' law”, JSC “Central Securities Depository” acts as the central hub for recording ownership rights to securities and offers various services, including depository, registrar, and information services.

General meeting of shareholders and rights of shareholders

What is within the competence of the General Meeting of Shareholders?
According to the Republic of Kazakhstan's "On Joint Stock Companies" law, the General Meeting of Shareholders is the highest governing body of the company. The exclusive authority of the General Meeting of Shareholders includes matters such as amending the company's charter, reorganization or liquidation, determining the composition and term of office of the board of directors, the election and premature termination of their terms, approving the amount and procedure of dividend payments, and many other significant issues. The full list of the General Meeting of Shareholders' competencies is outlined in the Republic of Kazakhstan's "On Joint Stock Companies" law and the Company's Articles of Association.
What rights do shareholders have?
Shareholders have rights that include participating in the management of the Company in accordance with the laws and/or the Company's Articles of Association, receiving dividends, obtaining information about the Company's activities, and more. For more detailed information, you can refer to the Republic of Kazakhstan's "On Joint Stock Companies" law, the Company's Articles of Association, as well as the prospectus for the issuance of shares on the Company's official website in the "Investors" section, under the "IPO Materials" subsection. How can I take part in the General Meeting of Shareholders of KazMunayGas JSC?
To participate in the General Meeting of Shareholders, you must be a shareholder of the Company on the date of the meeting and present an identification document, as well as a document confirming your ownership of shares, specifically, an account statement issued by a brokerage organization. Additionally, in accordance with Article 47, Paragraph 1 of the Republic of Kazakhstan's "On Joint Stock Companies" law, shareholders have the right to participate in the General Meeting of Shareholders and vote on matters under consideration through their representative. The shareholder's representative, in accordance with Article 48, Paragraph 2 of the same law, must also present a power of attorney confirming their authority to participate and vote at the General Meeting of Shareholders. General meetings can be conducted in person, by correspondence, or in a hybrid format. The date, procedure for conducting and voting, and other details of the meeting are specified in notices of General Meetings of Shareholders. These notices are published on the depository of financial statements' website, the stock exchanges KASE and AIX, and on the Company's official website under the "Investors" section, within the "General Meeting of Investors" subsection. Where can I find out about the dividend policy and the dividend amount?
On the Company's official website, under the 'Investors' section, within the 'Dividends' subsection (see Dividends (kmg.kz)), you can review the history of dividend payments, the dividend policy, and decisions made by the General Meeting of Shareholders.
Do I receive dividends when purchasing shares?
The decision to pay dividends on common shares and the approval of the dividend amount per one common share are made by the General Meeting of Shareholders. The General Meeting's decision establishes the date for compiling the list of shareholders eligible to receive dividends, the start date for dividend payments, and the procedure for distributing dividends on common shares. Dividend payments on common shares are made to all shareholders registered in the Company's register on the date of compiling the list of individuals eligible to receive dividends. In accordance with the Republic of Kazakhstan's "On Joint Stock Companies" law, the list of shareholders eligible to receive dividends must be compiled prior to the commencement of dividend payments.
What should I do if the entitled dividends have not been credited to my account?

In accordance with Article 23, Section 4 of the Republic of Kazakhstan's "On Joint Stock Companies" law, if a shareholder's current personal information changes, the entitled dividends will be transferred to their special account for unclaimed funds within the Central Securities Depository system. Consequently, according to the Rules for the Operation of the central depository (Resolution of the Board of the National Bank of the Republic of Kazakhstan dated November 29, 2018, No. 307), shareholders can request their dividends from this account at any time by contacting the Central Securities Depository JSC.

To avoid such a situation, shareholders should provide their up-to-date details and other personal information in a timely manner.

What is the timeframe for the payment of dividends on common shares?
In accordance with Article 23 of the Republic of Kazakhstan's "On Joint Stock Companies" law, the payment of dividends must be made no later than ninety calendar days from the date following the date when the General Meeting of Shareholders makes a decision on the payment of dividends on the common shares of the company.

In social media, shares of JSC 'KazMunayGas' are often advertised, promising high returns. Is this really the case?

Currently, there has been a rise in cases of fraud involving the dissemination of videos and other advertising campaigns in which scammers, pretending to represent the Company, encourage Kazakhstan citizens to invest in the Company's stocks or investment projects. In exchange, these scammers promise quick profits from the sale of oil and gas.

JSC 'KazMunayGas' does not engage in placing such advertisements on social media. All official information about the company is published on the Company's website. To avoid falling victim to scammers, remember that you should only acquire JSC 'KazMunayGas' securities through a licensed brokerage organization.
